Overview

 

The General Counsel is the chief legal officer of the organization, responsible for overseeing and managing the provision of all legal services to the company. This individual serves as a trusted advisor to the executive leadership team and the board of directors, ensuring that the organization's legal and regulatory obligations are met while supporting strategic objectives.

Responsibilities

Legal Advisory

  • Provide legal guidance on a wide range of matters including corporate governance, contract management, mergers and acquisitions, intellectual property, employment law, and regulatory compliance.
  • Advise the executive leadership team and board of directors on legal risks and business strategies.
  • Draft, review, and negotiate complex contracts and agreements to mitigate risks and ensure favorable terms for the organization.
  • Stay abreast of changes in laws and regulations that may impact the organization and advise on necessary adjustments to policies and practices.

Litigation Management

  • Oversee the management of all litigation and dispute resolution matters, including working with external counsel as necessary.
  • Develop and implement strategies to resolve legal disputes efficiently and favorably.
  • Represent the organization in legal proceedings, negotiations, and other formal matters as needed.

Compliance and Ethics

  • Ensure the organization's compliance with all applicable laws and regulations.
  • Develop and implement comprehensive compliance programs and policies to promote ethical behavior and prevent violations of laws and regulations.
  • Conduct internal audits and investigations into potential legal and compliance issues.

Risk Management

  • Identify and assess potential legal risks to the organization and develop strategies to mitigate these risks.
  • Collaborate with other departments to integrate risk management practices across the organization.
  • Provide training and guidance to employees on legal and compliance matters to foster a culture of risk awareness and accountability.

Qualifications

  • Bilingual: English
  • Juris Doctor (JD) degree from an accredited law school.
  • Current license to practice law in the relevant jurisdiction.
  • At least 10 years of legal experience, preferably including experience in a corporate or in-house legal environment.
  • Demonstrated expertise in corporate law, contract law, litigation, and regulatory compliance.
  • Strategic Thinking: Ability to align legal advice and strategies with the organization's broader business objectives.
  • Problem-Solving: Strong analytical skills and the ability to develop innovative solutions to complex legal issues.
  • Communication: Excellent verbal and written communication skills, with the ability to convey complex legal concepts to non-legal stakeholders.
  • Leadership: Proven leadership and management skills, with the ability to build and lead a high-performing legal team.
  • Negotiation: Skilled in negotiating favorable terms and resolving disputes effectively.
  • Integrity: Commitment to ethical conduct and maintaining the highest standards of professionalism and integrity.
